These Terms of Service ("Terms") govern your access to and use of any websites, mobile or web applications, software, APIs, documentation, and related services provided or operated by Symvance, a sole proprietorship registered in Japan and operated by [Operator Name] (collectively, the "Services"). By creating an account, accessing, or using any of the Services, or by clicking "I agree," you acknowledge that you have read, understood, and agree to be bound by these Terms and our Privacy Policy.
本利用規約（以下「本規約」）は、日本国内で個人事業として登録された Symvance（事業主：[氏名]、以下「当方」）が提供・運営するウェブサイト、モバイル／ウェブアプリケーション、ソフトウェア、API、ドキュメントその他関連サービス（総称して「本サービス」）の利用条件を定めるものです。アカウントを作成し、または本サービスにアクセス・利用することで、利用者は本規約およびプライバシーポリシーに同意したものとみなされます。

| Symvance Platform / Symvanceプラットフォーム | The collective infrastructure, software, and intellectual property enabling the Services. 本サービスを支える当方のインフラ・ソフトウェア・知的財産の総称。 |
Certain Services may carry subscription, transaction, or usage‑based fees ("Fees"). Fee details are published on the applicable pricing page or service‑specific agreement. Unless otherwise specified, all Fees are billed in Japanese Yen (JPY) via Stripe or another authorized payment processor and are non‑refundable except as required by law.
一部サービスにはサブスクリプション、トランザクション、または利用量に応じた料金（以下「料金」）が発生する場合があります。詳細は料金ページまたはサービス固有の契約に掲載されます。特に定めがない限り、料金は Stripe などの認定決済プロセッサーを通じて日本円（JPY）で請求され、法令を除き返金不可です。
You are responsible for all applicable taxes, duties, and government charges associated with your use of the Services, except where Symvance is required to collect and remit taxes on your behalf.
利用者は本サービス利用に伴う税金・関税・公租公課を負担するものとします。当方が法令に基づき代理徴収・納付する場合を除きます。
If you register under a Free Trial plan, no Fees will be charged until the trial period ends. Unless you cancel the subscription before the trial ends, the plan will automatically convert to the applicable paid plan and the first billing cycle will begin immediately.
無料トライアルプランを利用する場合、トライアル期間が終了するまで料金は請求されません。期間終了前に解約手続きが行われない限り、自動的に有料プランへ移行し、直ちに初回請求が開始されます。
You may upgrade or downgrade your plan at any time in the dashboard. Upgrades take effect immediately and any incremental Fees are prorated. Downgrades take effect from the next billing cycle and previously paid Fees are non‑refundable.
プランのアップグレード・ダウングレードはダッシュボードからいつでも実行できます。アップグレードは即時反映され、不足額は日割りで請求されます。ダウングレードは次回請求期間から適用され、支払済み料金の返金は行いません。
Except where required by law, all Fees are non‑refundable. Where consumer‑protection laws mandate a cooling‑off or refund right, we will comply with such laws.
法令で認められる場合を除き、支払済みの料金は返金不可です。特定商取引法などによりクーリングオフや返金が義務付けられる場合には、当該法令に従って対応します。
Payments are processed via Stripe Connect. Symvance is not a payment institution or money transmitter. Disputes, chargebacks, and refunds requested by cardholders are the sole responsibility of the Business User. You must comply with all applicable payment‑related laws and the Stripe Connected Account Agreement.
決済処理は Stripe Connect により行われます。Symvance は資金移動業者ではありません。カード保有者によるチャージバック・返金・決済紛争への対応責任はビジネスユーザーに帰属します。ビジネスユーザーは関連法令および Stripe Connected Account Agreement を遵守するものとします。
Symvance grants you a limited, non‑exclusive, non‑transferable, revocable license to access and use the Services in accordance with these Terms. All software, documentation, logos, trademarks, and the Symvance Platform remain the property of Symvance or its licensors.
当方はユーザーに対し、本規約に従い本サービスを利用するための限定的・非独占的・譲渡不可・取消可能な利用権を付与します。ソフトウェア、ドキュメント、ロゴ、商標、Symvanceプラットフォーム等の知的財産権は当方またはライセンサーに帰属します。
You retain ownership of Content you submit. By uploading Content, you grant Symvance a worldwide, royalty‑free license to host, reproduce, distribute, display, and otherwise use the Content as necessary to operate and improve the Services.
ユーザーは投稿したコンテンツの所有権を保持しますが、本サービスの運営・改善のために当方に当該コンテンツを保存・複製・配布・表示・利用する全世界的かつ無償のライセンスを付与します。
The Services may integrate third‑party services or open‑source components. Your use of such components is subject to the respective third‑party terms, and Symvance disclaims liability arising from third‑party services.
本サービスはサードパーティサービスやOSSを組み込む場合があります。これらの利用には各事業者の利用規約が適用され、当方はそれらに起因する責任を負いません。
Symvance uses open‑source software (OSS) components released under licenses such as MIT and Apache‑2.0.
Symvance は MIT や Apache‑2.0 などのライセンスで提供される OSS コンポーネントを利用しています。。
Symvance may suspend or terminate access to the Services for violations of these Terms, legal requirements, or to protect integrity and security. Upon termination, your right to use the Services ceases immediately.
本規約違反、法令遵守、サービスの保全・セキュリティ確保の必要がある場合、当方は本サービスへのアクセスを停止・解除できます。解除後、ユーザーの利用権は直ちに失効します。
The Services are provided "as is" and "as available." Symvance makes no warranties, express or implied, including merchantability, fitness for a particular purpose, non‑infringement, or uptime.
本サービスは「現状有姿」「提供可能な範囲」で提供されます。当方は商品性・特定目的適合性・非侵害・稼働時間等の明示または黙示の保証を行いません。
To the maximum extent permitted by law, Symvance is not liable for indirect, incidental, special, consequential, or punitive damages, or loss of profits, data, or goodwill.
法律で許容される最大範囲において、当方は間接的・偶発的・特別・結果的・懲罰的損害、または利益・データ・信用の損失について責任を負いません。
These Terms are governed by the laws of Japan. Unless required otherwise by law, disputes shall be subject to the exclusive jurisdiction of the court having jurisdiction over Symvance's business location.
本規約は日本法に準拠します。法令の定めがない限り、本サービスに関連する紛争は当方事業所所在地を管轄する裁判所を専属的合意管轄裁判所とします。
Symvance may revise these Terms at any time. Updated Terms become effective upon posting or reasonable notice. Continued use of the Services after the effective date constitutes acceptance.
当方は本規約を随時改訂できます。改訂後の規約は掲示または合理的な方法による通知時に効力を生じ、ユーザーが継続利用した場合、改訂に同意したものとみなされます。
Unless otherwise required by law, Symvance will provide at least 30 days’ notice before material changes to these Terms take effect (60 days for changes that increase Fees).
法令に別段の定めがない限り、当方は本規約の重要な変更を行う場合、施行日の 30 日前までに通知します（料金が増額される変更については 60 日前までに通知します）。
Symvance targets a monthly uptime of 99.5 % for production systems, excluding planned maintenance and circumstances beyond our reasonable control. Planned maintenance will be announced at least 48 hours in advance via e‑mail or in‑app notice. Support inquiries are accepted on business days (Mon‑Fri) 10:00–18:00 JST.
Symvance は商用環境について月間 99.5 % の可用性を目標とします（計画メンテナンスおよび当方が合理的に制御不能な事由を除く）。計画メンテナンスは 48 時間以上前にメールまたは管理画面バナーで通知します。サポート窓口は平日 10:00–18:00（日本時間）で受け付けます。
Any sales forecasts, demand predictions, or operational recommendations generated by the Services are provided for informational purposes only. Symvance does not guarantee their accuracy or suitability, and you remain solely responsible for business decisions taken in reliance on such insights.
本サービスが提供する売上予測・需要予測・運営レコメンド等の AI 生成情報は参考情報であり、その正確性や適合性を保証するものではありません。これら情報を基に行われる経営判断は利用者自身の責任で行うものとします。
You represent and warrant that you are not, and will not become, an organized crime group, member thereof, or any similar anti‑social force. Symvance may immediately suspend or terminate the Services if this warranty is breached.
利用者は暴力団、暴力団員またはこれに準ずる反社会的勢力ではなく、将来も該当しないことを表明・保証するものとします。当方は当該保証に違反した場合、何らの通知なく本サービスを停止または解除できるものとします。
You agree to indemnify, defend, and hold harmless Symvance and its officers, employees, and agents from any claims, damages, liabilities, and expenses arising out of or related to (a) your misuse of the Services, (b) Content you upload, or (c) your violation of laws or third‑party rights.
利用者は (a) 本サービスの不適切な利用、(b) 投稿コンテンツ、(c) 法令または第三者権利の侵害に起因して Symvance 等が被った一切の損害・費用について賠償し、防御し、かつ Symvance 等を免責するものとします。
Symvance is not liable for any delay or failure to perform resulting from events beyond our reasonable control, including natural disasters, power outages, network failures, acts of government, or third‑party service disruptions.
天災、停電、ネットワーク障害、政府の規制、第三者サービスの障害など、当方が合理的に制御できない事由により生じた遅延または履行不能について、Symvance は責任を負いません。
If you provide feedback or suggestions about the Services, Symvance may use them without restriction and without obligation to compensate you.
ユーザーが本サービスに関するフィードバックや提案を提供した場合、Symvance はそれらを自由に利用でき、対価を支払う義務を負わないものとします。
Symvance may offer beta or experimental features that are still under development. Such features are provided “as‑is” and may be modified, suspended, or discontinued at any time without notice.
Symvance は開発中のベータ機能を提供する場合があります。これら機能は「現状有姿」で提供され、予告なく変更・中断・終了されることがあります。
You may not assign or transfer any rights or obligations under these Terms without Symvance’s prior written consent. Symvance may assign these Terms in connection with a merger, acquisition, reorganization, or sale of assets.
利用者は当方の書面による事前の同意なく、本規約上の権利義務を第三者に譲渡または移転できません。当方は合併・買収・組織再編・資産譲渡等に伴い、本規約を譲渡できるものとします。
These Terms and the Privacy Policy constitute the entire agreement between you and Symvance. Failure to enforce any provision shall not constitute a waiver. If any provision is held invalid, the remaining provisions shall remain in full force.
本規約およびプライバシーポリシーは、利用者と Symvance との間の完全な合意を構成します。Symvance が本規約の条項を行使しない場合でも、当該権利放棄とはみなされません。条項の一部が無効と判断された場合でも、残存条項は継続して有効とします。
In the event of any inconsistency between the English and Japanese versions of these Terms, the Japanese version shall prevail.
本規約の英語版と日本語版に齟齬がある場合、日本語版を優先します。
Symvance may deliver notices, including legal notices, policy updates, and incident reports, via e‑mail to your registered address, in‑app messages, or postings on our website. Such notices will be deemed delivered at the time they are sent or posted.
Symvance は法的通知、規約変更、障害情報などの通知を、登録メールアドレスへの送信、アプリ内メッセージ、または当方ウェブサイトへの掲示により行うことがあります。これらの通知は送信または掲示時に到達したものとみなします。
You grant Symvance the right to use your trade name, logo, and a non‑confidential description of your use of the Services in our marketing materials, website, or press releases, unless you notify us in writing to opt‑out.
利用者は、書面による不掲載要請がない限り、本サービス導入事例として自社の商号・ロゴ・非機密の利用概要を当方のウェブサイト、販促資料、プレスリリース等に無償で掲載することを許諾します。
You represent that you are not located in, under the control of, or a resident of any country or territory subject to comprehensive sanctions, and you are not listed on any sanctions list. You agree to comply with all applicable export‑control and sanctions laws.
利用者は、包括的制裁対象国・地域に所在せず、制裁リストに掲載されていないことを表明し、適用される輸出管理・経済制裁法令を遵守するものとします。
Sections concerning intellectual property, Fees, indemnification, disclaimers, limitation of liability, governing law, and this Survival clause shall survive termination of the Services.
知的財産、料金支払義務、補償、免責、責任制限、準拠法、本条（存続）などの条項は、本サービス終了後も有効に存続します。
Headings and numbering in these Terms are for convenience only and shall not affect the interpretation of any provision.
本規約の見出しおよび条番号は便宜上付したものであり、規約の解釈に影響を与えるものではありません。
The Services are not directed to children under 13. If you are under the age of legal majority, you must obtain consent from a parent or legal guardian. Business Users are responsible for ensuring compliance with applicable youth‑protection laws.
本サービスは 13 歳未満の児童を対象としていません。未成年者が利用する場合は保護者の同意を得るものとし、ビジネスユーザーは青少年保護関連法令を遵守した運用を行う責任を負います。
Business Users are solely responsible for ensuring the accuracy of menu information, ingredient lists, and allergen labeling. Symvance disclaims any liability for harm arising from inaccurate or missing allergen information.
メニュー情報・原材料・アレルゲン表示の正確性はビジネスユーザーの責任です。当方は誤表記・欠落によって生じた健康被害について一切責任を負いません。
We encourage security researchers to responsibly disclose vulnerabilities by e‑mailing info@symvance‑tech.com. We will not pursue legal action against researchers who comply with our coordinated disclosure guidelines and do not publicly disclose vulnerabilities before a fix is available.
脆弱性を発見された方は info@symvance‑tech.com へ責任ある形でご報告ください。当方の協調的開示ガイドラインを遵守し、修正完了前に公表しない善意の研究者に対し、法的措置を講じません。
